Terms of Service

Introduction

Welcome to DataHubz. These Terms of Service ("Terms") govern your access to and use of our services, products, and websites (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are using our Services on behalf of an organization, you are agreeing to these Terms on behalf of that organization and warrant that you have the authority to do so.

Definitions

  • DataHubz refers to our company, its affiliates, subsidiaries, and its platform services.
  • User refers to any individual or entity using our Services.
  • Content refers to all data, information, reports, and materials provided, uploaded, or accessed through the Services.

Use of Services

Eligibility

To use the Services, you must be at least 18 years old and have the capacity to form a binding contract. You are responsible for ensuring that your use of the Services complies with applicable laws and regulations.

Account Registration

To access certain features, you may be required to register for an account. You must provide accurate information during the registration process and keep your account information up to date. You are solely responsible for maintaining the confidentiality of your account credentials.

Acceptable Use

You agree to use the Services only for lawful purposes and in a manner consistent with these Terms. Prohibited activities include, but are not limited to:

  • Violating any local, state, national, or international laws.
  • Interfering with or disrupting the Services or servers.
  • Attempting to gain unauthorized access to any part of the Services.
  • Copying, modifying, distributing, or reverse-engineering any part of the Services.

Fees and Payments

Subscription Fees

DataHubz operates on a subscription-based model. Fees are billed either monthly or annually, depending on your chosen subscription plan. All fees are non-refundable except as required by law or explicitly stated in the agreement.

Payment Terms

You agree to pay all applicable fees for your use of the Services. All payments are due in full at the beginning of each billing cycle. DataHubz reserves the right to suspend or terminate access to the Services for failure to make timely payments.

Changes to Fees

DataHubz reserves the right to change the fees for the Services at any time. You will be notified of any changes to the subscription fees at least 30 days in advance.

Intellectual Property

Ownership

DataHubz retains all rights, title, and interest in and to the Services, including all related intellectual property. These Terms do not grant you any rights to use DataHubz’s trademarks, logos, or other brand features.

User Content

You retain all rights to your Content. By submitting Content to the Services, you grant DataHubz a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and distribute the Content solely for the purpose of operating, improving, and delivering the Services.

Feedback

Any feedback, suggestions, or ideas you provide to DataHubz regarding the Services are considered non-confidential and may be used by DataHubz without any obligation to compensate you.

Data Privacy and Security

Data Collection

DataHubz collects and processes personal data in accordance with its Privacy Policy, which is incorporated by reference into these Terms.

Data Protection

We implement industry-standard security measures to protect your data. However, you acknowledge that no system is completely secure and DataHubz cannot guarantee the absolute security of your data.

Termination

Termination by User

You may terminate your use of the Services at any time by canceling your subscription through your account settings.

Termination by DataHubz

DataHubz reserves the right to suspend or terminate your access to the Services for any reason, including but not limited to a violation of these Terms or non-payment.

Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. You are responsible for exporting any Content you wish to retain prior to termination. DataHubz may retain and use Content as necessary for compliance with legal obligations or internal policies.

Disclaimers and Limitations of Liability

No Warranty

The Services are provided “as is” without any warranties of any kind. DataHubz makes no representations or warranties regarding the accuracy, reliability, or completeness of the Services.

Limitation of Liability

To the maximum extent permitted by law, DataHubz is not liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.

Additional Terms for DataHubz Attest

DataHubz Attest (“Attest”, available at attest.datahubz.com) lets you create verifiable receipts, sign agreements electronically, generate zero-knowledge proofs, and verify records. These additional terms apply to Attest and supplement the rest of these Terms. If they conflict, these additional terms govern your use of Attest.

Electronic Signatures

Attest records electronic signatures. Each signature is made with the signer’s passkey over a statement identifying the document (by its SHA-256 fingerprint), the signer, and the time, and is recorded with evidence that anyone can verify. Attest is designed to support electronic signatures under laws such as the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). Attest does not provide qualified electronic signatures as defined by the EU eIDAS Regulation. Some documents or transactions may require a specific form of signature, notarization, or witnessing under applicable law. You are responsible for determining whether Attest is appropriate for your documents and transactions.

What Records Prove

A receipt proves that content with a specific fingerprint existed, unchanged, no later than the time it was anchored. It does not prove who created the content or that the content is accurate, lawful, or complete. A zero-knowledge proof proves only the statement it states. You are responsible for the content you submit and for the claims you attach to it.

Permanence of Blockchain Records

Attest records cryptographic fingerprints (hashes and Merkle roots) on public blockchains, currently Horizen, and submits zero-knowledge proofs to the zkVerify network. Records written to a public blockchain are permanent and cannot be modified or deleted by DataHubz or anyone else. Corrections are made by creating a new record that supersedes an earlier one; the earlier record remains.

Encryption Keys and Recovery

Documents in agreements are end-to-end encrypted in your browser. Your encryption key is created on your device and can be unlocked only with your passkey or your recovery phrase; DataHubz never has access to it. If you lose every passkey and your recovery phrase, DataHubz cannot recover your key or decrypt your documents, and that loss is permanent. You are responsible for keeping your recovery phrase safe. Resetting your key makes documents encrypted to the previous key inaccessible to you.

Blockchain Accounts Operated by DataHubz

To anchor your records, DataHubz creates and operates a blockchain account (wallet) associated with your Attest account and funds it with the small amounts needed to pay network transaction fees. These accounts and any balances in them belong to and are controlled by DataHubz. They are used solely to pay network fees for your records. You cannot deposit to, withdraw from, or transfer from them, and they do not hold assets on your behalf. Attest does not provide wallets, custody, payment, exchange, or any other financial services to you, and fees you pay to DataHubz are payments for the Attest service, not purchases of digital assets.

Third-Party Networks

Attest depends on networks that DataHubz does not operate, including Horizen and zkVerify. Their availability, performance, fees, and rules are outside our control. If a network is unavailable or changes, anchoring or proof verification may be delayed, and DataHubz may move future anchoring to another public network. Records already anchored remain verifiable on the network where they were anchored.

Invited Signers and Public Verification

When you invite people to sign, you confirm that you are entitled to share their contact details with us for that purpose. Signing links are personal to the recipient; anyone holding a link can act for that signer on that agreement, so recipients should not forward them. Agreement certificates are public by default: anyone with the link can see the agreement’s title, the signers’ names and email addresses, and when they signed, but never the document itself. The creator of an agreement can make its certificate private at any time. Receipts and zero-knowledge proofs can be verified by anyone with their identifier, and a proof reveals the information it is designed to reveal, which may include the email addresses of the parties it names.

API, Plans, and Limits

You are responsible for keeping your API keys confidential and for all activity performed with them. Plans include a monthly allowance of records (for example, the free plan includes 10 records per month), and DataHubz may enforce these limits and apply reasonable rate limits. Verification is free and requires no account.

Acceptable Use of Attest

In addition to the Acceptable Use terms above, you may not use Attest to sign or record documents on behalf of another person without their authorization, to impersonate anyone, to create records intended to deceive, or to store or share unlawful content.

Indemnification

You agree to indemnify, defend, and hold harmless DataHubz and its affiliates from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your infringement of any intellectual property rights.

Changes to the Terms

DataHubz reserves the right to modify these Terms at any time. If we make changes, we will notify you by revising the “Last Updated” date at the top of these Terms or through other means. Your continued use of the Services after the changes become effective constitutes your acceptance of the modified Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
